Terms of Use

These Terms of Use form a binding agreement between you and Lastrada Music Technology, Inc. ("Lastrada," "we," "our," or "us"). By accessing the website, creating an account, or using the platform, you agree to these Terms and our Privacy Policy.

If you are using the service on behalf of a company, label, publisher, estate, fund, or other organization, you represent that you have authority to bind that organization.

Lastrada provides software and administrative services that support sample clearance operations, including request intake, rights-holder coordination, analysis, quoting, approvals, documentation, payment tracking, and related reporting.

We may add, modify, or discontinue features from time to time. Certain functionality may be subject to separate order forms, customer agreements, or workspace-specific settings.

• You must provide accurate information and keep it current.
• You are responsible for safeguarding your login credentials and account access.
• You may not share access in a way that violates your organization’s permissions or these Terms.
• We may suspend or restrict access if we reasonably believe an account is compromised or being misused.

If you turn on Lastrada text alerts, we send text messages about activity on your account, such as new requests, offers, approvals, agreements and payments, for the notifications you choose in your settings. Message frequency varies. Message and data rates may apply. Reply HELP for help or STOP to cancel at any time, or turn texts off in your settings. For help, contact support@lastrada.music. Carriers are not liable for delayed or undelivered messages. Our Privacy Policy explains how we handle your mobile number.

You retain responsibility for the data, files, and workflow content you submit to the platform. You represent that you have the rights and permissions necessary to provide that content and to instruct Lastrada to process it in connection with your workflow.

You grant Lastrada the limited rights needed to host, process, analyze, transmit, and display that content solely to provide and improve the service, meet legal obligations, and maintain system integrity.

You may not use the service to:

• Violate applicable law, contractual restrictions, or third-party rights.
• Attempt unauthorized access to accounts, systems, or data.
• Interfere with platform performance, security, or availability.
• Upload malicious code or use the service for spam, fraud, or abusive conduct.
• Reverse engineer or scrape the service except as permitted by law or contract.

Some Lastrada features use automated analysis and model-assisted outputs, including workflow summaries, intake assistance, and explanatory drafts. These outputs are provided to assist operational decision-making and may require human review. Quote recommendations are not among them: rates are produced by a published decision methodology from judgments entered by a qualified reviewer.

Unless expressly stated in a separate agreement, Lastrada does not provide legal advice, and AI-assisted outputs should not be treated as a substitute for independent legal, financial, or business judgment.

Paid services, invoicing, rebates, and related commercial terms are governed by your applicable order form, quote, or customer agreement. You agree to pay fees when due and to provide complete billing information.

We may use third-party payment processors to collect or settle payments. Late or unpaid amounts may result in restricted access where permitted by contract or law.

Lastrada and its licensors retain all rights in the platform, website, software, workflows, trademarks, and related materials, excluding customer-provided content and third-party materials.

Subject to these Terms and any separate commercial agreement, we grant you a limited, non-exclusive, non-transferable right to access and use the service for your internal business purposes.

To the maximum extent permitted by law, the service is provided "as is" and "as available." We disclaim implied warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by law, Lastrada will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, or goodwill arising from or related to the service.

You may stop using the service at any time. We may suspend or terminate access if you violate these Terms, create security risk, fail to pay required fees, or if continued access could expose Lastrada or others to harm.

Provisions that by their nature should survive termination, including provisions related to fees, intellectual property, disclaimers, limitations of liability, and governing law, will survive.

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the service will be brought in the state or federal courts located in Delaware, and you consent to that jurisdiction and venue.
